Peterborough Pregnancy Support Services (“PPSS”, “organization”, “we”, “our”, or “us”) welcomes links to this website www.mypregnancycentre.org (the “Site”) from any website meeting its criteria and provided you agree to the following terms and conditions (“Terms”).

By accessing, linking to or using this Site, you agree to be bound by the Terms below. If you do not agree to the Terms below, do not access, link, or use this Site. Please read the following Terms for this Site carefully. If you still have questions or concerns, please contact us at info@mypregnancycentre.org.

PPSS reserves the right to amend, remove or add to the Terms at any time, and such modifications shall be effective immediately. Accordingly, whenever accessing, linking to or using this Site, please continue to review the Terms for any changes. Your continued access, link to, or use of this Site after any changes have been posted to the Terms constitutes your acceptance of the modified Terms. If, at any time, you do not wish to accept the Terms, you are prohibited from accessing, linking to or using this Site. Any terms and conditions proposed by you that are additional to or conflict with the Terms are expressly rejected by PPSS and shall be of no force or effect. 

USER CONSENT TO THE TERMS

You represent and warrant that you have read, understand and agree to be bound by the Terms, which constitute a legal agreement between you and PPSS. You represent and warrant that you have full authority to accept the Terms. If you are accepting on behalf of someone else, you represent and warrant that you have the full legal authority to bind that person or entity to these Terms. If you do not have the full legal authority to bind your entity to the Terms, please ensure that an authorized person from your entity consents to and accepts the Terms; otherwise, you are prohibited from accessing, linking, or using this Site.

LAWS AND REGULATIONS

These Terms shall be governed by and construed according to the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree not to access, link to or use this Site in any way that violates such laws or regulations. You also agree and submit to the exclusive jurisdiction and venue of the courts of the Province of Ontario. Violation of these Terms may result in civil or criminal liability. PPSS may investigate violations of these Terms and work with law enforcement authorities to prosecute users who violate these Terms.

PROPRIETARY RIGHTS

You acknowledge that this Site, including, without limitation, any and all content available on or through this Site (collectively, the “Site Content”), is proprietary to or licensed by PPSS, is protected under copyright and other intellectual property laws, and may not be reproduced, transmitted, displayed, published or distributed without the express prior written consent of PPSS. You agree to abide by all applicable copyright and other laws. You do not have the right to use, publish, share, sell or otherwise distribute any data collected concerning visitors to your website which relates to (a) their clicking on a Link; (b) their use of the Site; or (c) any other information deemed proprietary by PPSS.

RESTRICTIONS

You agree not to modify, move, add to, delete or otherwise tamper with the Site Content in any way and to retain all copyright and other proprietary notices displayed on the Site Content. Some of the information on this Site is supplied by independent third parties. PPSS makes no warranty on the accuracy of any such information and hereby disclaims all liability for any third-party-supplied information.

The links are only provided as a convenience, and PPSS does not endorse or recommend any products, services, or information contained in any of these third-party sites. PPSS hereby disclaims all liability for all information, materials, products or services posted, offered, or that may be accessed at any of the third-party sites linked to this Site. PPSS makes no representation regarding the quality of any product or service contained at any such third-party site. Furthermore, PPSS hereby disclaims all liability for any failure of products or services offered or advertised at those third-party sites.

• Provide a hypertext reference link (“Link”) to the Site, as identified by the Uniform Resource Locator (“URL”) www.mypregnancycentre.org, solely for informational and non-commercial purposes and only to link your website to the Site; and
• Use its name and logo (“Logo”) solely for the purpose of creating and describing the Link.

2. Guidelines and Restrictions

If you would like to link to this Site, you must comply with the following guidelines and restrictions:

• Do not incorporate any Site Content into your website (e.g., by in-lining, framing or creating other browser or border environments around PPSS content). You may only link to this Site by providing an underlined, textual link from your website to www.mypregnancycentre.org (the “Authorized Link”). No other link to PPSS Site is permitted without the express, prior written approval of PPSS;
• You may not present the Authorized Link in a manner that suggests PPSS has any relationship or affiliation with your website or endorses your website, products or services, or in any way that can be reasonably interpreted to suggest that editorial content on your website has been authored by, or represents the view or opinions of PPSS;
• You will not misrepresent the nature of your relationship with PPSS or present false or misleading information concerning the Site or the services performed by PPSS.
• You may not use any of PPSS’ names, logos, designs, slogans or trademarks identifying any PPSS site in any “metatag” or other information used by search engines or other information location tools to identify and select sites, without PPSS’ express, prior written permission for a particular use;
• Your website must not contain content that could be construed as distasteful, grossly offensive, obscene, defamatory, harassing, controversial, or malicious to any person of any age;
• PPSS prohibits unauthorized links to this Site, the framing of any information on this Site, or any portion of this Site, or use other techniques that alter the visual presentation of the Site, without the express, prior written approval of PPSS. Furthermore, you may not archive, cache, or mirror any PPSS webpage or portions of a webpage. PPSS reserves the right to disable any unauthorized links or frames. PPSS hereby disclaims all liability for any material on other websites that may contain links to this Site;

• You will not display or use a Link in a manner that causes the Site to be associated with any advertising or sponsorship not part of the Site or otherwise incorporate any of the content of the Site into a third-party website;
• If you would like to use, reprint, frame, or redistribute any content on PPSS Site other than as permitted herein, you must request permission from PPSS by writing to info@mypregnancycentre.org. Please include: (a) your name, e-mail address, and telephone number; (b) the name of your company; (c) the website address(es) where the proposed use will occur; and (d) specific details about the contemplated linking or framing activities, including the content or web page(s) of this website which you would like to use;
• The Logo, when used according to the limited license, shall be properly and accurately displayed in connection with any display and description of the Link visible on your website; however, the Logo shall not be the most prominent trademark on your website;
• Except for the limited license to use the Logo granted herein, you may not use or modify the Logo or use any other trademarks or service marks owned or controlled by PPSS for any reason whatsoever without prior written consent.

Under no circumstances shall PPSS or any other party involved in creating, producing, or distributing the Site be liable for any direct, indirect, incidental, special or consequential damages (including, without limitation, any reputational damages, any lost profits, damages for business interruption, or loss of information, programs or other data) that result from the use of or inability to use the Site or due to any breach of security associated with the transmission of information through the internet, regardless of the theory of liability and even if foreseeable or even if PPSS was advised of the possibility of such damages. You hereby agree that this paragraph shall apply to all information, services and products available through the Site. Because some jurisdictions do not permit the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions, liability is limited to the fullest extent allowed by law.

INDEMNITY

You agree to indemnify, defend and hold harmless PPSS, its directors, trustees, officers, employees, attorneys, volunteers, agents and representatives from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) or other expenses that arise directly or indirectly out of or from (a) your breach of this Agreement, (b) any allegation that any materials included on your website infringe or otherwise violate the copyrights, trademark, trade secret or other intellectual property or other proprietary rights of any third party; and (c) your activities in connection with this Site. Your obligations under this paragraph will survive the termination or expiration of these Terms of Use.

PRIVACY

Protecting the privacy of our clients and users of our Site is important to PPSS. The PPSS’ Privacy Policy describes how we use and protect information you provide on our Site.

SECURITY

The security of information transmitted through the Internet can never be guaranteed. PPSS disclaims all liability for any interception or interruption of any communications through the Internet or for changes to our losses of data. You are responsible for maintaining the security of any password, user ID, or other forms of authentication involved in obtaining access to password-protected or secure areas of the PPSS Site. To protect you and your data, PPSS may suspend your use of the site, without notice, pending an investigation, if any breach of security is suspected.

TRANSMISSION OF PERSONAL DATA

You acknowledge and agree that by providing PPSS with any personal information through this Site, you consent to transmit such personal user information following PPSS’ Privacy Policy.

ACCESS TO PASSWORD PROTECTED/SECURE AREAS

Access to and use of password protected and/or secure areas of this Site are restricted to authorized users only. Unauthorized access to such areas is prohibited and may lead to criminal prosecution. 

PROCEDURE FOR MAKING CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT 

Notices of claimed copyright infringement on this Site should be directed to Peterborough Pregnancy Support Services, 473 Aylmer Street North, Peterborough, ON K9H 3W3, Attn: Executive Director.

SEVERABILITY

If any provision of these Terms is held to be unlawful, void or unenforceable, then such provision shall be severable without affecting the enforceability of all remaining provisions. PPSS reserves the right to alter or delete the Site Content at any time at its discretion. 

TERMINATION

The term for which you may establish a Link to the Site begins on the date you establish the Link. You may terminate the Link at any time. We may terminate your permission to Link to the Site at any time, without notice, for any reason whatsoever. Upon termination, you will immediately: (a) discontinue or disable the Link; (b) remove the Link and the Logo from your website; and (c) destroy any copies of data from the Site in your possession, custody or control. You further acknowledge that PPSS will not be liable to you for any termination of your access to or use of the Site.
